Terms of Use

1. Acceptance of Terms & Eligibility

• Age Limit: By using the App, you represent and warrant that you are at least 13 years of age (or at least 16 in the United Kingdom or European Union). If you are under 18 years of age (or the legal age of majority in your jurisdiction), you may only use the App under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
• Agreement: These Terms constitute a legally binding agreement between you and EMERALD TIDE HOTEL LTD.

2. Description of Services & AI Content Generation

• Service: The App utilizes artificial intelligence and cloud computing technologies to process user-provided content (such as text prompts, images, videos, or audio) and generate AI-driven video content ("Output").
• AI Output Variability: You acknowledge that AI technology is inherently non-deterministic. The App provides output on an "as is" and "as available" basis. We do not guarantee that the generated videos will meet your specific quality, artistic, or technical expectations.

3. In-App Purchases and Subscriptions

The App offers free features as well as paid features through consumable In-App Purchases ("IAP") and auto-renewable Subscriptions.

A. Billing and Processing

• All purchases, billing, and transactions are processed directly by third-party app stores (Google Play Store or Apple App Store).
• Pricing, currency, and available payment methods are determined by the respective store platform and displayed prior to confirmation of purchase.

B. Auto-Renewable Subscriptions

• Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle (e.g., weekly, monthly, or annually) unless auto-renew is turned off at least 24 hours before the end of the current period.
• Account Renewal Charge: Your App Store account (Google Play Account or Apple ID) will be charged for renewal within 24 hours prior to the end of the current billing period at the rate of the selected plan.
• Managing and Canceling Subscriptions: You can manage, change, or cancel your subscriptions at any time via your device's account settings (Google Play Account Settings or Apple ID Subscriptions). Uninstalling the App does not automatically cancel your subscription.

C. Free Trials

• If a free trial is offered, your account will be billed automatically for the subscription upon the expiration of the free trial period unless you cancel at least 24 hours prior to the trial end date.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

D. Refunds

All payments are handled directly by Google Play or Apple App Store. Refund requests must be submitted directly to the respective store in accordance with their refund policies (Google Play Refund Policy or Apple Refund Support). We do not have direct control over App Store payment refunds.

4. User Conduct and Acceptable Use

You agree that you are solely responsible for all content, prompts, photos, and media ("User Input") that you upload or input into the App.

You explicitly agree NOT to use the App to create, upload, generate, or share any Content or User Input that:

• Infringes Rights: Violates or infringes upon any copyright, trademark, patent, trade secret, privacy, publicity, or intellectual property rights of any third party.
• Defamatory & Harmful: Is unlawful, defamatory, libelous, harassing, threatening, abusive, harmful, or invasive of another person's privacy.
• Deepfakes & Impersonation: Creates deceptive "deepfake" videos, non-consensual sexual images, or impersonates any living or deceased person, public figure, or organization without explicit permission.
• Hate Speech & Violence: Promotes hate speech, violence, terrorism, discrimination, illegal activities, self-harm, or severe harm to individuals or animal welfare.
• Sexually Explicit Material: Contains explicit pornography, sexually suggestive content involving minors, or unlawful adult material.
• Malicious Exploitation: Attempts to reverse-engineer, decompile, extract source code, exploit API limits, or bypass safety filters implemented within the App.

We reserve the right, at our sole discretion, to terminate or restrict your access to the App immediately without prior notice if you violate any of these restrictions.

5. Intellectual Property Rights

A. Ownership of the App

The App, including its design, code, logos, interface, features, algorithms, trademarks, and trade dress, is owned exclusively by EMERALD TIDE HOTEL LTD and protected by international intellectual property laws.

B. User Ownership and Output Rights

• User Input: You retain all rights and ownership to the original photos, media, and text prompts you upload to the App.
• Generated Output: Subject to your compliance with these Terms, we transfer to you all right, title, and interest in and to the AI-generated output videos created specifically for you by the App, for your personal or commercial use, to the extent permitted by applicable copyright laws regarding AI-generated media.
• License to Process: By uploading User Input, you grant us a worldwide, non-exclusive, royalty-free, limited license to host, store, process, and transmit your media strictly for the purpose of rendering and generating your requested videos.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE APP, ITS FEATURES, AND ALL GENERATED AI OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
• WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUT.
• WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EMERALD TIDE HOTEL LTD, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP;
• ANY USER CONTENT OR AI-GENERATED OUTPUT;
• ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR IN-APP PURCHASES OR SUBSCRIPTIONS IN THE APP DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless EMERALD TIDE HOTEL LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the App;
• Your User Input or generated media;
• Your breach or violation of these Terms or applicable laws and regulations.

9. Governing Law and Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any dispute or legal claim arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in England and Wales.

10. Severability and Modifications

• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
• Modifications: We reserve the right to revise or update these Terms at any time. Updated versions will be posted within the App with a revised "Last Updated" date. Continued use of the App following any changes indicates your acceptance of the updated Terms.
